Welcome to Vauch App by Vauch Logistics and Car Leasing Limited. a digital marketplace that connects Car Owners, Lease Agents, Drivers, and Riders for premium car rental and transportation services. By creating an account, accessing, or using the Vauch App or website (“Platform”), you agree to these Terms and Conditions (“Terms”). Please read them carefully.

1. Definitions

By using Vauch App (the "App"), you agree to comply with and be bound by these Terms and Conditions, our Privacy Policy, and Data Protection Policy and any other guidelines that we may introduce. If you do not agree, please do not use the App.

• “Vauch” / “Platform” – The mobile app, website, tools, and services provided by Vauch Logistics & Car Leasing Limited.

• “User” – Any individual or entity accessing or using the Platform (Car Owners, Lease Agents, Drivers, Riders).

• “Car Owner” – A person or entity listing their vehicle(s) on Vauch.

• “Lease Agent” – A user responsible for managing rental operations and handling requests on behalf of Car Owners.

• “Driver” – A verified individual who drives vehicles for rental or ride services arranged through Vauch.

• “Rider” – A customer booking a ride or renting a vehicle on Vauch.

• “Services” – All technology, features, and tools enabled on Vauch for rental management, communication, invoicing, payments, and trip coordination.

2. Acceptance of Terms

By creating an account, using Vauch App (the "App"), or engaging in any transaction, you agree to comply with and be bound by these Terms and Conditions, our Privacy Policy, and Data Protection Policy and any other guidelines that we may introduce. You confirm that:

• You are at least 18 years old.

• You have the legal capacity to enter into binding agreements.

• You agree to comply with all policies published by Vauch.

If you do not agree to these Terms, do not use the Platform.

3. Role of Vauch

Vauch is a technology marketplace platform, not a transportation operator, employer, or vehicle owner.

• Vauch does not own vehicles listed on the Platform.

• Vauch does not employ Drivers, Lease Agents, or Car Owners.

• Users enter into direct agreements with each other for rentals or rides.

• Vauch facilitates booking, communication, invoicing, geo-matching, and digital payment processing.

Vauch is not responsible for actions or omissions of Users.

4. User Accounts

4.1 Account Registration.

Users must create an account with accurate, complete information. You are responsible for maintaining confidentiality of your login details.

4.2 Verification

Vauch may request verification documents such as:

• Government-issued IDs

• Drivers’ licenses

• Vehicle documents

• Insurance records

• Proof of address

Vauch may suspend or terminate accounts that fail verification.

4.3 Account Suspension/Termination

Vauch may suspend or terminate your account for:

• Fraud or suspicious activity

• Violating these Terms

• Providing incorrect or false information

• Misuse of the Platform

5. Responsibilities of Users

5.1 Car Owners.

Car Owners must ensure:

• All vehicles are legally registered, insured, and roadworthy.

• Vehicles meet minimum quality standards for premium service.

• Accurate listing information is provided.

• They comply with agreements with Lease Agents and Drivers.

• They maintain proper tax and regulatory compliance.

5.2 Lease Agents

Lease Agents are responsible for:

• Managing bookings, operations, drivers, and customer communication.

• Ensuring timely pickup/drop-off arrangements.

• Monitoring vehicle use and reporting incidents.

• Ensuring Drivers comply with safety and performance standards.

• Handling operational decisions on behalf of Car Owners.

5.3 Drivers

Drivers must:

• Hold a valid driver’s license.

• Drive safely, responsibly, and professionally.

• Maintain cleanliness and safety of vehicles.

• Comply with Nigerian road traffic regulations.

• Treat Riders with respect and professionalism.

• Avoid alcohol or drugs while driving.

5.4 Riders

Riders agree to:

• Provide accurate pickup and contact information.

• Treat Drivers and vehicles respectfully.

• Pay all applicable fees.

• Not engage in damage, violence, or misuse of vehicles.

• Comply with safety instructions during the ride.

6. Payments, Fees & Commissions

• Payments for rides and rentals made through Vauch are held in trust for Car Owners.

• Vauch deducts platform fees and commissions before settlement.

• Lease Agent commissions may be automatically deducted according to agreements set in their vendor dashboard.

• All fees are visible to Users before confirming bookings.

• Vauch may adjust pricing or commissions with prior notice.

7. Cancellations & Refunds

• Riders may cancel bookings. However, penalty, by way of a surcharge may apply depending on the nature of the booking and car owner’s loss.

• Applicable cancellation fees may apply.

• Refunds are made only in cases where no service has been rendered and no penalties apply.

• Vauch reserves the right to refuse refunds in cases of misuse, fraud, or policy abuse.

8. Vehicle Condition & Damages

• Car Owners must provide accurate vehicle descriptions.

• Riders and Drivers must report damage immediately.

• Users may be liable for damages caused by negligence or misuse.

• Disputes between Users will first be handled through Vauch’s dispute resolution process.

9. Safety & Conduct

Users must not:

• Use the Platform for illegal activities.

• Harass, threaten, or harm others.

• Use fake accounts or false identity.

• Interfere with Platform systems or security.

• Vauch may involve law enforcement if necessary.

10. Insurance

• Car Owners must ensure their vehicles have valid insurance.

• Vauch may require additional insurance coverage for commercial use.

• Claims must be handled directly between Car Owners, their insurers, and responsible parties.

• Vauch is not an insurer, but may provide micro insurance coverage for leases during the period of a trip.

11. Data Privacy

Vauch collects and processes personal data according to its Privacy Policy, including:

• Account details

• Trip history

• Communication logs

• Payment information

By using Vauch, you consent to data usage for security, service delivery, and analytics.

12. Liability & Indemnity

To the maximum extent allowed by law:

• Vauch is not responsible for loss, damage, theft, accidents, or misconduct by Users.

• You agree to indemnify Vauch from claims arising from your actions or violations of these Terms.

• Vauch is not liable for service interruptions caused by technical issues, maintenance, or unforeseeable events.

13. Dispute Resolution

• Users must first submit disputes through Vauch’s support team.

• If unresolved, disputes may be escalated through mediation or arbitration in Nigeria.

Vauch reserves the right to make final administrative decisions on Platform matters.

14. Amendments

Vauch may update these Terms at any time. Continued use of the Platform after changes means you accept the updated Terms.

15. Termination

• We reserve the right to suspend or terminate your account and access to the App if you violate these Terms or engage in fraudulent or abusive behavior.

• Upon termination, you remain liable for all obligations incurred under these Terms.

16. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the Federal Republic of Nigeria.

• Any disputes arising out of or related to these Terms will be resolved through binding arbitration or in the courts of he Federal Republic of Nigeria, as applicable.
